Terms of Service — Intellivizz

These Terms of Service ("Terms") govern your access to and use of the Intellivizz AI website at intellivizz.ai and all related services (collectively, the "Service") provided by Intellivizz, Inc. ("Intellivizz," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Services

Intellivizz AI provides AI-powered business automation services including but not limited to: missed-call recovery, appointment reminders, patient reactivation, lead nurturing, review management, and compliance automation workflows. Services are delivered through GoHighLevel (GHL) sub-accounts provisioned and configured for your business.

2. Eligibility & Account

You must be at least 18 years of age and have the legal authority to bind your organization to these Terms. Upon purchase, we create a GHL sub-account configured with your selected automations. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate contact and business information and to update it as necessary.

3. Business Search & Google Places

The Service includes a business search feature powered by the Google Places API. By using this feature you acknowledge that:

Your search queries are sent to Google and are subject to Google's Terms of Service.
Business data returned by Google (name, address, category) is used solely to personalize your automation recommendations and is stored as part of your lead record.
We may restrict search results to your detected country based on your IP address to improve relevance.

4. Fair Usage Policy

Certain services included in your subscription plan are designated as "Unlimited" — including AI-powered voice agent processing, chatbot conversations, and automated review replies. "Unlimited" means that these AI services are available for legitimate, commercially reasonable business use without per-unit charges for AI processing.

Carrier costs remain metered. Regardless of the unlimited nature of AI processing, underlying carrier and infrastructure costs — including telephone line rental, inbound and outbound call minutes, SMS/MMS messages, and email delivery — are always metered and billed at the published rates on our pricing page.

Prohibited use. Unlimited AI services may not be used for automated, scripted, or bot-driven bulk operations that exceed commercially reasonable volumes; reselling or sublicensing AI processing capacity to third parties; or any purpose that places disproportionate load on shared infrastructure. Automated, scripted, or bot-driven access to the business search feature is also prohibited.

Enforcement. If we detect usage patterns that appear to exceed fair use thresholds, we will: (1) notify you in writing and provide an opportunity to adjust your usage; (2) work with you to determine an appropriate usage adjustment or upgraded plan; and (3) if excessive usage continues after notification, we reserve the right to throttle or suspend the affected services. Intellivizz may update fair usage thresholds with at least 15 days' prior written notice.

5. Pricing & Payments

Setup fees are one-time charges due at checkout. They cover sub-account provisioning and automation snapshot configuration.
Monthly subscription fees are charged on a recurring basis starting from the activation date of your sub-account.
Usage-based charges (SMS, email sends, AI voice minutes) are billed based on actual consumption at the rates published on our pricing page.

All prices are in USD unless explicitly stated otherwise. Applicable taxes are added at checkout. We accept payment via Stripe; all card information is handled directly by Stripe and never stored on our servers.

6. Workflow Modifications & Custom Scope

All automation workflows are delivered as preset configurations designed to address common business use cases. Any modifications, customizations, or enhancements requested by the Client to the preset automation workflows shall be scoped, quoted, and billed on a case-by-case basis, separate from and in addition to the standard setup and subscription fees.

Clients must submit modification requests in writing. Intellivizz will provide a scope assessment and cost estimate prior to commencing any custom work. No custom modifications will be undertaken until the Client has approved the associated quote in writing. Intellivizz reserves the right to decline modification requests that fall outside its operational capabilities or that would compromise the stability of existing workflows.

7. Included Automations & Free Tier

Certain subscription plans include a specified number of automations at no additional setup cost ("Included Automations"). The determination of which specific automations qualify for inclusion in the free tier is at the sole discretion of Intellivizz and may be changed at any time without prior notice.

Existing Clients who have already been provisioned with an automation that was previously included in the free tier shall not be subject to retroactive setup fee charges for that specific automation, provided their subscription remains active and in good standing.

8. Refund Policy

Setup fees are non-refundable once the sub-account has been provisioned and the automation snapshot applied. Monthly subscription fees are non-refundable for the current billing period. You may cancel future billing at any time through your account dashboard or by contacting support.

9. Compliance Responsibilities

While we design our automations to comply with applicable regulations (HIPAA, TCPA, FERPA, GDPR), you are ultimately responsible for:

Obtaining proper consent from your contacts before automated messaging
Maintaining accurate opt-out and do-not-contact lists
Ensuring the content of automated messages complies with applicable laws
Executing a Business Associate Agreement (BAA) with us if you handle PHI
Compliance with data residency requirements applicable to your jurisdiction

10. Intellectual Property

All automation templates, workflows, proprietary algorithms, and content remain the property of Intellivizz AI. Upon purchase you are granted a non-exclusive, non-transferable, revocable license to use these materials within your sub-account for the duration of your active subscription. You may not copy, reverse-engineer, resell, or redistribute our automation templates.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

12. Limitation of Liability

To the maximum extent permitted by law, Intellivizz AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities. Our total aggregate liability for any claim arising from your use of the Service shall not exceed the total amount paid by you to Intellivizz in the 12 months preceding the event giving rise to the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

14. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms, engage in abusive behavior, or fail to pay outstanding fees. Upon termination, your sub-account access will be revoked and data retained in accordance with our Privacy Policy.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 15 days before taking effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Northern Virginia.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
